These Terms of Service (“Terms”) govern your access to and use of Outloop, including our website, commercial beta, software, local app, dashboard, documentation, and related services.
Outloop is a product of ARGAMAN X MEDIA LTD (“Outloop,” “we,” “us,” or “our”).
By accessing or using Outloop, you agree to these Terms. If you do not agree, do not use Outloop.
1. Product description
Outloop is a local-first runtime access layer for AI agents.
It helps AI operators and agencies manage approved API access across client workspaces without exposing raw API keys, storing credentials in project folders, or pulling humans back into the runtime loop.
Outloop is not a vault, password manager, generic secrets manager, broad OAuth marketplace, generic automation platform, or tool for unauthorized access.
2. Commercial beta status
Outloop is currently in commercial beta.
Beta features may be incomplete, unavailable, changed, limited, or discontinued at any time.
Beta access does not guarantee future access, pricing, availability, production readiness, or compliance certification.
Commercial beta access, paid onboarding, subscriptions, and software access may require payment. Pricing, billing interval, plan limits, and payment terms will be shown before purchase or confirmed during onboarding.
3. Account and access
You are responsible for ensuring that the information you provide to us is accurate and that you are authorized to use Outloop on behalf of your company, clients, or organization.
You are responsible for maintaining the security of your systems, devices, local credentials, and user accounts.
4. Authorized use only
You may use Outloop only with API credentials, accounts, systems, workspaces, tenants, and data that you own, manage, or are legally authorized to access.
You must not use Outloop for:
- Unauthorized access
- Credential theft
- Credential harvesting
- Account takeover
- Spyware, keylogging, malware, or surveillance abuse
- Circumventing access controls
- Exfiltrating data without authorization
- Spam or abusive mass messaging
- Unlawful scraping or prohibited automated collection
- Fraud, phishing, impersonation, or deception
- Violating third-party terms, laws, or regulations
- Any activity that creates payment, chargeback, legal, platform, or security risk
5. Secrets and credentials
Outloop is designed to avoid exposing raw API keys to AI agents, chat transcripts, project folders, logs, and generated files.
You must not submit API keys, passwords, Bearer tokens, Authorization headers, .env contents, credential files, or other secrets through our website forms, support forms, or ordinary email.
You are responsible for configuring and protecting your approved credential backend, such as macOS Keychain, 1Password, Infisical, Doppler, or other supported backends.
6. Local-first architecture
Outloop is designed around local runtime, local dashboard, local broker, and approved secure backend storage.
Outloop cloud, where used, is intended to manage metadata such as account, license, plan, activation, and non-secret product status.
Outloop cloud must not receive raw API keys, Authorization headers, Bearer tokens, .env contents, secret-bearing files, or raw project files by default.
7. User responsibilities
- Using Outloop only for authorized workflows
- Keeping your local machine secure
- Reviewing access grants and tenant assignments
- Ensuring your agents follow your policies and legal obligations
- Maintaining appropriate backups where needed
- Complying with third-party API terms
- Complying with applicable laws and regulations
- Not submitting secrets through website or support channels
8. Third-party services
Outloop may integrate with or interact with third-party services, APIs, credential backends, payment processors, hosting providers, or AI agent platforms.
We are not responsible for third-party services, their availability, security, policies, pricing, or terms.
Your use of third-party services is governed by their own terms and policies.
9. Paddle payments
When paid checkout is activated, payments may be processed by Paddle. Paddle may act as merchant of record for purchases made through our checkout and may handle payment processing, taxes, invoices, payment-related emails, refunds, chargebacks, and payment-related buyer support.
If your purchase is processed by Paddle, additional Paddle buyer terms, policies, and support channels may apply.
10. Subscriptions and cancellation
When paid subscriptions are activated, subscription terms, billing intervals, plan limits, renewal dates, and cancellation options will be presented at or before checkout.
You are responsible for canceling before renewal if you do not want to continue the subscription.
11. Refunds
Refunds are governed by our Refund Policy.
12. Intellectual property
Outloop, including the website, product, software, documentation, design, logos, text, and related materials, is owned by ARGAMAN X MEDIA LTD or its licensors.
These Terms do not transfer ownership of Outloop intellectual property to you.
13. Feedback
If you provide feedback, suggestions, bug reports, or ideas, you grant us the right to use them to improve Outloop without restriction or compensation, unless separately agreed in writing.
14. Beta limitations and disclaimers
Outloop is provided during beta on an “as is” and “as available” basis.
We do not guarantee that beta features will be error-free, uninterrupted, secure, or suitable for your specific use case.
Do not rely on beta software for critical production workflows unless you have independently validated the workflow and accepted the risk.
15. No legal, security, or compliance advice
Outloop does not provide legal, security, compliance, tax, or regulatory advice.
You are responsible for determining whether your use of Outloop meets your obligations.
16. Limitation of liability
To the maximum extent permitted by law, ARGAMAN X MEDIA LTD and Outloop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.
To the maximum extent permitted by law, our total liability for any claim relating to Outloop will not exceed the amount you paid to us for Outloop in the 3 months before the event giving rise to the claim, or USD $100 if you have not paid us.
17. Indemnification
You agree to defend, indemnify, and hold harmless ARGAMAN X MEDIA LTD, Outloop, and their officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from your use of Outloop, your violation of these Terms, your misuse of credentials, your violation of third-party rights, or your unlawful activity.
18. Suspension or termination
We may suspend or terminate access to Outloop if we believe you have violated these Terms, created security risk, created payment risk, used Outloop for prohibited activity, or exposed us or others to legal or operational risk.
19. Changes to Outloop
We may modify, limit, suspend, or discontinue any part of Outloop, including beta features, at any time.
20. Changes to these Terms
We may update these Terms from time to time.
The updated version will be posted on this page with a new “Last updated” date.
21. Governing law
These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.
Subject to applicable law, the courts located in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over disputes arising from or relating to these Terms or Outloop.
