Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Outloop, including our website, the Outloop Mac software (the “Software”), the local dashboard, Outloop Cloud at app.outloop.co, documentation, and related services (together, the “Service”).

Outloop is a product of ARGAMAN X MEDIA LTD, a company registered in Israel (“Outloop,” “we,” “us,” or “our”). ARGAMAN X MEDIA LTD is the publisher of the Software.

These Terms are also the end-user license agreement (EULA) for the Software. By creating an account, starting a trial, downloading, installing, or using Outloop, you agree to these Terms. If you are accepting on behalf of a company or other organization, you confirm that you have authority to bind it, and “you” means that organization. If you do not agree, do not download, install, or use Outloop.

1. Business use

Outloop is offered to businesses and professionals for use in their trade, business, or profession. It is not intended for personal, household, or consumer use. You must be at least 18 years old to use Outloop.

2. Product description

Outloop is a local-first runtime access layer for AI agents.

It helps AI operators and agencies manage approved API access across client workspaces without exposing raw API keys, storing credentials in project folders, or pulling humans back into the runtime loop. The Software runs on your Mac: a local broker decides whether an agent’s request is allowed under the policy you configure, performs the approved request with a credential read from your macOS Keychain, and returns a redacted result.

Outloop is not a vault, password manager, generic secrets manager, broad OAuth marketplace, generic automation platform, or tool for unauthorized access.

3. Service status

Outloop is an actively developed product, available with guided onboarding.

Some features may be incomplete, unavailable, changed, limited, or discontinued at any time.

Access does not guarantee future access, pricing, availability, production readiness, or compliance certification.

Paid access, onboarding, and subscriptions require payment. Pricing, billing interval, plan limits, and payment terms are shown before purchase or confirmed during onboarding.

4. Account and access

You are responsible for ensuring that the information you provide to us is accurate and that you are authorized to use Outloop on behalf of your company, clients, or organization.

You are responsible for activity under your account, for keeping your account sign-in credentials confidential, and for telling us promptly at support@outloop.co if you believe your account has been compromised.

5. Software license

Subject to these Terms and to your account remaining active under a current trial or paid subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software, in object-code form, on Macs you own or control and activate to your account, within the limits of your plan, solely for your internal business purposes.

The license ends automatically when your trial or subscription ends without renewal, when your account is terminated, or when these Terms end. When the license ends, you must stop using the Software. Some features may stop working when the Software can no longer confirm an active license.

The Software is licensed, not sold. We and our licensors keep all rights not expressly granted in these Terms.

Third-party and open-source components included with or used by the Software are licensed under their own terms. Where those terms grant you broader rights for a specific component, those terms apply to that component.

6. Intellectual property and software restrictions

ARGAMAN X MEDIA LTD and its licensors own and retain all rights, title, and interest, including all intellectual property rights, in Outloop — including the Software and its source code and object code, the website, Outloop Cloud, designs, branding, names, and logos, documentation, systems, and all other proprietary technology and materials, and any updates or improvements to them. You receive only the use rights expressly granted in these Terms. These Terms do not transfer ownership of any Outloop intellectual property to you.

Except as these Terms expressly permit, and except to the extent such restriction is expressly prohibited by applicable law, you must not, and must not permit or help anyone else to:

Where applicable law gives you a right to do any of the above (for example, to achieve interoperability) that cannot be excluded by contract, you may exercise that right only to the extent and under the conditions the law allows, and we ask that you first contact us at support@outloop.co in case we can provide the information you need.

7. Your authority and acceptable use

You may use Outloop only with API credentials, accounts, systems, workspaces, tenants, and data that you own, manage, or are legally authorized to access.

8. AI workers and agents — your responsibility

Outloop gives AI agents and AI workers that you choose a controlled way to use access you approve. It does not decide what those agents do. You:

AI models can produce output that is incomplete, inaccurate, or inappropriate, and agents can take actions you did not intend. Outloop does not guarantee that any AI-generated content, decision, or action is correct, complete, lawful, or suitable for your purpose. Outloop enforces the access policy you configure; it does not review the substance of what an agent does within that policy.

9. High-impact and destructive actions

Some operations can be difficult or impossible to reverse, or can have financial, legal, or reputational effects — for example deleting data, spending or changing budgets, publishing content, sending messages or email, changing advertising campaigns, changing permissions, or moving money.

You are responsible for choosing approval controls appropriate to those operations, including the workspace settings Outloop provides for destructive actions, the scopes and permissions you grant, and any human review you require before an agent acts. You are responsible for verifying the target of such an operation before you authorize it.

10. Third-party platforms and services

Outloop works with third-party services, APIs, websites, AI agent platforms, AI model providers, payment processors, and hosting providers. When you use Outloop with a third-party platform, you must:

Your use of third-party services is governed by their own terms and policies. This section does not limit our responsibility for our own Software and Service, or for our own obligations under these Terms.

11. Your systems and security

You are responsible for:

Outloop is designed to avoid exposing raw API keys to AI agents, chat transcripts, project folders, logs, and generated files. That design depends on the Software running on a Mac that you keep secure.

12. Your content and data

You, and where applicable your clients, keep all rights, title, and ownership in the data, content, files, credentials, and other materials you or your agents process with Outloop (“Customer Data”). No ownership of Customer Data or of your clients’ content transfers to us.

Most Customer Data stays on your Mac. To the extent Customer Data reaches us — for example account details, or an encrypted package you relay through Outloop Cloud — you grant us a limited, non-exclusive license to host, transmit, and process it only as needed to provide, secure, and support the Service for you, and to comply with law. We do not claim any other rights in it.

13. Local-first architecture and Outloop Cloud

Outloop is designed around a local runtime, local dashboard, local broker, and macOS Keychain. Your audit log, workspace context, policy, and credentials stay on your Mac, except inside an encrypted transfer you start yourself, described below. “Stay on your Mac” describes where this data is stored. Content from services you connect, including Google, can also be sent to the AI tools you allow, as described in section 14 and our Privacy Policy.

Outloop Cloud manages account, license, plan, billing status, and Mac activation. It also receives limited non-secret product metadata, such as counts and states of workspaces and the types of services connected, to apply plan limits.

Outloop Cloud does not receive raw API keys, Authorization headers, .env contents, or raw project files in readable form. Where available, two optional features you start yourself pass through Outloop Cloud: moving a workspace to another Mac relays an end-to-end encrypted package, and connecting some services whose sign-in requires a server-side exchange (currently TikTok) passes those tokens through Outloop Cloud once, encrypted, on their way to your Mac. 15. Installation, updates, and removal

The Software is distributed as a macOS disk image signed with an Apple Developer ID issued to ARGAMAN X MEDIA LTD and notarized by Apple. When set up, it installs a background service (a macOS Launch Agent) that starts the local broker when you sign in to your Mac, so approved agent requests keep working.

The Software checks for updates and asks before installing them. We may release updates that fix, change, or remove features; these Terms apply to updates.

You can stop using and remove the Software at any time; contact support@outloop.co if you need help. Credentials you stored in macOS Keychain and local files you created remain on your Mac under your control; we cannot access or delete them.

16. Paddle payments

Payments are processed by Paddle. Paddle acts as merchant of record for purchases made through our checkout and handles payment processing, taxes, invoices, payment-related emails, refunds, chargebacks, and payment-related buyer support.

If your purchase is processed by Paddle, additional Paddle buyer terms, policies, and support channels may apply.

17. Subscriptions and cancellation

Subscription terms, billing intervals, plan limits, renewal dates, and cancellation options are presented at or before checkout.

You are responsible for canceling before renewal if you do not want to continue the subscription.

Refunds are governed by our Refund Policy.

19. Feedback

If you provide feedback, suggestions, bug reports, or ideas, you grant us the right to use them to improve Outloop without restriction or compensation, unless separately agreed in writing. Feedback does not include your Customer Data.

20. Disclaimers

To the maximum extent permitted by law, Outloop is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will be error-free, uninterrupted, secure, or suitable for your specific use case; that it will prevent every unintended or unauthorized action by an agent; that you will achieve any particular business outcome; that AI-generated content, decisions, or actions will be correct; or that third-party systems, APIs, or features will remain available.

Do not rely on Outloop for critical production workflows unless you have independently validated the workflow and accepted the risk.

Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions, the exclusions above apply only to the extent the law permits.

21. No legal, security, or compliance advice

Outloop does not provide legal, security, compliance, tax, or regulatory advice.

You are responsible for determining whether your use of Outloop meets your obligations.

22. Limitation of liability

To the maximum extent permitted by law, ARGAMAN X MEDIA LTD and Outloop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.

To the maximum extent permitted by law, our total liability for any claim relating to Outloop will not exceed the amount you paid to us for Outloop in the 3 months before the event giving rise to the claim, or USD $100 if you have not paid us.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for fraud, for death or personal injury caused by negligence, or for gross negligence or willful misconduct where the law does not allow it to be limited.

23. Indemnification

You agree to defend, indemnify, and hold harmless ARGAMAN X MEDIA LTD, Outloop, and their officers, directors, employees, contractors, and agents from third-party claims, and related damages, liabilities, losses, and expenses (including reasonable legal fees), arising from: your use of Outloop; the actions of AI agents you authorize; access to any client, account, or system that you were not authorized to access or to give your agents; your Customer Data, including content that is unlawful or infringing; your violation of these Terms; your misuse of credentials; your violation of third-party rights or third-party platform terms; or your unlawful activity.

This does not apply to the extent a claim is caused by our own breach of these Terms, our own negligence or willful misconduct, or our own unlawful conduct.

24. Suspension or termination

We may suspend or terminate access to Outloop if we believe you have violated these Terms, created security risk, created payment risk, used Outloop for prohibited activity, or exposed us or others to legal or operational risk. We may also suspend access, including by suspending license activation, where reasonably necessary for security, to stop abuse, to comply with law, or to protect the Service or other users. Where reasonable, we will tell you why and restore access once the issue is resolved.

You may stop using Outloop and close your account at any time by contacting support@outloop.co; subscriptions are canceled as described in section 17.

When your access ends, your license under section 5 and your right to use the Service end, and you must stop using the Software. Sections 6, 8, 10, 12, 19 through 23, 27, and 28 survive termination.

25. Changes to Outloop

We may modify, limit, suspend, or discontinue any part of Outloop, including any feature, at any time.

26. Changes to these Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a new “Last updated” date. If a change materially affects paying customers, we will make reasonable efforts to notify account holders in advance. Continuing to use Outloop after the updated Terms take effect means you accept them.

27. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

Subject to applicable law, the courts located in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over disputes arising from or relating to these Terms or Outloop.

28. General

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and any order or plan terms shown at purchase, are the entire agreement between you and us about Outloop and replace prior understandings on that subject. If any provision is found unenforceable, the rest remains in effect and the provision is enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. You must comply with applicable export-control and sanctions laws when using the Software.
